Terms of Use
Effective date: October 6, 2026
Website terms | Working draft for review
This document is a general website policy and terms draft, not legal advice. SGNTUR should have it reviewed for its business and the jurisdictions where it operates and serves clients.
1. Agreement and scope
These Terms of Use (“Terms”) govern access to and use of the SGNTUR website at https://sgntur.com and its public content. “SGNTUR,” “we,” “us,” and “our” refer to SGNTUR. By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.
These Terms govern website use only. Creative services are governed by the applicable signed proposal, statement of work, service agreement, or other written agreement (“Project Agreement”). If a Project Agreement conflicts with these Terms, the Project Agreement controls for that project.
2. Eligibility and permitted use
You may use the website only in compliance with applicable law and these Terms. You must be legally able to accept these Terms. If you use the website on behalf of a business, you confirm you have authority to bind that business.
You may not interfere with website operation or security; access non-public systems without authorization; introduce malware or harmful code; scrape, crawl, harvest, or copy website content at scale without written permission; misrepresent your identity or affiliation; infringe another person’s rights; or use the website to send unlawful, deceptive, abusive, or unsolicited material. We may take reasonable steps to prevent or address misuse.
3. Website information and availability
Website content is provided for general information about SGNTUR and its capabilities. It may be incomplete, illustrative, or out of date and is not a promise that any particular service, result, production method, or delivery date will be available. We may change, suspend, or discontinue website content or features at any time.
We aim to keep the website available but do not guarantee uninterrupted, error-free, or secure access. We may restrict access for maintenance, security, operational, or legal reasons.
4. Intellectual property
Unless identified otherwise, the website and its text, design, graphics, logos, videos, images, layout, and other content are owned by or licensed to SGNTUR and are protected by applicable intellectual-property laws. You may view the website and share links for personal or internal business evaluation. You may not reproduce, modify, distribute, publicly display, sell, create derivative works from, or commercially exploit website content without prior written permission, except as allowed by law.
SGNTUR’s name, logo, and marks may not be used in a way that suggests sponsorship, affiliation, or endorsement without written permission. Third-party names, brands, and marks remain the property of their respective owners.
5. Portfolio and examples
Portfolio images, videos, concepts, mockups, case studies, and campaign examples are provided to demonstrate creative capabilities. They may be speculative, illustrative, AI-generated, hybrid, or created for a client. Unless expressly stated, examples are not a guarantee of future performance, client results, commercial availability, or identical deliverables. Any results or claims shown should be read with their stated context and limitations.
Do not reuse, download, publish, or adapt portfolio assets without permission from the rights holder. Client names and marks are displayed only where SGNTUR has authorization or another lawful basis. If you believe material is displayed improperly, contact [email protected].
6. Inquiries and submitted materials
If you send an inquiry, creative brief, suggestion, reference, image, video, script, product information, or other material (“Submission”), you confirm that you have the rights and permissions needed to send it and to authorize SGNTUR to review and use it for the purpose of responding to you or evaluating, proposing, or performing requested services.
Unless a Project Agreement says otherwise, do not send confidential, highly sensitive, regulated, or third-party personal information through a general website form. A Submission does not create a client relationship, confidentiality obligation, or project commitment by itself. Any confidentiality obligation must be set out in a written agreement signed by the relevant parties.
You retain rights you already hold in your Submission. You grant SGNTUR a limited, non-exclusive permission to host, view, reproduce, and use it as reasonably necessary to respond to your request, discuss a potential project, and provide services if engaged, subject to any applicable written agreement and privacy requirements. You must not submit unlawful content or material that infringes another person’s rights.
7. Creative services and Project Agreements
Descriptions of services on the website are general. No service is engaged until the parties enter into a Project Agreement or SGNTUR otherwise confirms acceptance in writing. A Project Agreement should set out the scope, fees, payment schedule, deliverables, timelines, revision rounds, approval process, usage rights, ownership, licenses, cancellation or change terms, third-party costs, and any confidentiality or data-handling requirements.
A proposal may expire or be withdrawn as stated in it. Any estimate, launch date, production schedule, or result discussed before signing is preliminary unless included as a binding term in the Project Agreement. If terms are not expressly stated in a Project Agreement, the parties should resolve them in writing before work begins.
8. Fees, payment, cancellation, and changes
Fees, deposits, taxes, expenses, payment deadlines, late charges (if any), cancellation rights, refunds (if any), and change-order procedures are governed by the applicable Project Agreement or invoice. Website use alone does not require payment. SGNTUR does not promise a refund or cancellation right in these Terms unless the Project Agreement or applicable law provides one.
If a Project Agreement permits SGNTUR to pause or suspend work for overdue payment, missing materials, or delayed approvals, the stated conditions and consequences in that agreement apply. Third-party media, production, licensing, and platform costs should be expressly approved and addressed in the Project Agreement.
9. Client responsibilities, revisions, and approvals
Clients are responsible for providing accurate information, timely access to products and brand materials, lawful instructions, necessary approvals, and all permissions or releases for materials and people they supply. Clients must review work carefully and provide consolidated feedback within the timeframes in the Project Agreement. Delays in inputs, approvals, or feedback may affect scope, delivery dates, availability, or cost as set out in that agreement.
The number of included revisions, what qualifies as a revision, approval deadlines, and treatment of out-of-scope requests must be defined in the Project Agreement. A client’s approval may authorize production or publication stages as specified there. SGNTUR is not responsible for errors in a final item that were apparent in a proof and approved by the client, except to the extent the Project Agreement or law says otherwise.
10. AI-generated and hybrid work
SGNTUR may use generative AI, machine-learning systems, human creative work, stock assets, third-party software, and other production methods. The precise tools and workflow may vary by project. AI systems can produce inaccurate, unexpected, similar, or unsuitable outputs; generated work may require human review and editing.
Ownership, assignment, licenses, permitted use, exclusivity, source files, model or tool restrictions, and any client rights in deliverables depend on the Project Agreement, applicable third-party terms, and applicable law. These Terms do not promise that every output is unique, registrable, protectable, exclusive, or free of third-party rights. SGNTUR will not grant rights it does not own or control. Clients are responsible for using deliverables within the rights and restrictions expressly granted to them.
Unless agreed in writing, do not assume that project inputs, prompts, drafts, or generated outputs will be used only in a particular AI system, excluded from all provider retention or training, or retained for a particular period. Any requirements concerning confidential inputs, provider settings, human review, or restricted tools should be expressly agreed in the Project Agreement before materials are submitted.
11. Third-party platforms and materials
Services or website features may depend on third-party platforms, software, APIs, stock libraries, hosting, advertising channels, or social networks. Their terms, availability, pricing, and policies are controlled by those providers and may change. SGNTUR is not responsible for a third party’s independent service, outage, account decision, policy change, or data practices. The Project Agreement should identify any material third-party dependencies and applicable licensing costs where practical.
You are responsible for complying with the terms of platforms or services you use and for obtaining permissions to use your supplied content. Third-party assets incorporated into a project may be subject to separate license conditions.
12. Disclaimers
To the maximum extent permitted by law, the website and its content are provided “as is” and “as available.” SGNTUR disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, and non-infringement, to the extent such exclusions are permitted by law. Nothing in these Terms excludes a warranty, right, or remedy that cannot legally be excluded.
SGNTUR does not guarantee that website content is accurate or complete at all times, that the website will be uninterrupted or error-free, that a creative output will achieve a particular commercial or advertising result, or that third-party platforms will accept or distribute content. Any service warranties, performance commitments, or remedies must be stated in the Project Agreement.
13. Limitation of liability
To the maximum extent permitted by applicable law, SGNTUR will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings arising from or relating to website use or these Terms, even if advised of the possibility of such loss.
To the maximum extent permitted by law, SGNTUR’s total aggregate liability arising out of or relating to website use or these Terms will not exceed CAD $500. This cap applies only to website use and these Terms; any different allocation for paid services must be stated in the Project Agreement. Nothing in these Terms limits liability where limitation is prohibited by law, including for liability that cannot legally be limited.
14. Indemnity
To the extent permitted by law, you agree to be responsible for third-party claims and reasonable costs arising from your unlawful use of the website, your breach of these Terms, or your Submission infringing another person’s rights, except to the extent caused by SGNTUR’s own breach, negligence, or wrongful conduct. Any client indemnities relating to paid services must be set out in the Project Agreement.
15. Suspension and termination
We may suspend or restrict website access where reasonably necessary to protect the website, users, SGNTUR, or third parties, or to comply with law. We may remove or disable access to content that we reasonably believe violates these Terms or applicable law. These Terms stop applying to your future website use when you stop using the website, but provisions that by their nature should continue will survive, including intellectual-property restrictions, disclaimers, liability limits, indemnity, and dispute provisions.
Termination, suspension, or cancellation of paid services is governed by the applicable Project Agreement.
16. Governing law and disputes
These Terms are governed by the laws of Alberta, Canada, without regard to conflict-of-law rules, unless mandatory consumer-protection laws require otherwise. Courts located in Alberta, Canada will have jurisdiction, subject to applicable law. Before commencing formal proceedings, the parties are encouraged to contact one another in good faith to try to resolve the dispute. This clause must be reviewed for the jurisdictions where SGNTUR operates and serves clients.
17. Changes to these Terms
We may update these Terms by posting a revised version on the website and updating the effective date. Changes apply to website use from the posted effective date. Where required by law, we will provide additional notice. Changes to a paid project are effective only as permitted by the Project Agreement or a written amendment signed by the parties.
18. General
If a court finds a provision unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without SGNTUR’s written consent; SGNTUR may transfer these Terms as part of a reorganization or transfer of relevant business assets, subject to applicable law. These Terms and applicable Project Agreements are the entire agreement on their respective subjects. Nothing in these Terms creates an employment, partnership, agency, or joint-venture relationship.
